A RESOLUTION OF ~HE CITY ~ OF ~ CITY OF RAN(~O

FA~ILITlq~ DTS'/~ICT
~EAS, the CITY O0[]qCIL of the CITY OF RAN(~K)
C~T.T~'~IA, (hereinafter referred to as the "legislative body of the local
District pursuant to the terms an~ provisions of the ~Mello-~ooe C~m~mity
Facilities Act of 1982" being (ba.~cer 2.5, Part 1, Divisio~ 2, Title 5 of the
Gove~x~ent Code of the State of California (the "Act"). This
Facilities District shall here'~ be designated as ~ FACILITIES
DIgI~ICT NO. 93-3 (~~. ~2~I~iACE) (hereinafter to as the
"District"); ard
WHEREAS, at this time, the legislative body is desirous of making the
required appointments and desigr~ting persons to perform certain duties, in
order to allow the proceedings to go forward to c~letion in accordance with
the provisions of law.
NOW, THEREFORE, the City Council of the City of Rancho O,camn~qa does
hereby resolve as follows:
S~CTION 1. ~nat the above recitals are all true and correct.
S],3."TION 2. ~nat throughcut the course of these prooeed/z~3s, the
City Council of the City of Rancho O~A~ngna will be acting as the legislative
body of the C~,m,unity Facilities District No. 93-3 (Foothill Marketplace), a
legally oonstituted go~x~m~/~l entity as defined by Section 53317 of the
Government Code of the State of California.
S~CTION 3. All regulatory rules of the City, including date, time
and place of meetings, as well as notice requirements, shall be applicable for
all ~ooeed/ngs conducted by this legislative body as the gov~ body of
the C---,,tunity Facilities District.
S~CTION 4. All facilities, upon their construction an~ instal-
lation, shall become the property of and belong to the public agency and/or
public utility authorized to provide the respective service to the lards and
properties within the bour~ aries of the District, and said public agency
and/or public utility shall further be ~ible for the continual operation
and maintenance of said improvem~ts.
S~CTION 5. Tb~t the INLAND VATI.R"Y DAILY BUTLRU/N is hereby desig-
nated as the newspaper for all publications as requi~ed by law and as
neoessary for completion of this District.
S~i'/ON 6. ~nat NBS/LOWRY is hereby appointed the Project Manager
and Special Tax Consultant for said prooeed/n~s, and as such shall perform all
of the duties and respor~ibilities relating to said District.
SECTION 7. That FI~T~, ROIAPP, & ASSOCIATES is hereby appointed
the Financial Consultant for said proceedings, and as such shall perform all
of the cu~ duties and responsibilities relating thereto.

S~/U/ON 8. That STONE & YOUNGBERG is hereby appointed the Under-
writer for the purchase and sale of bonds in said District, and as such shall
perform all cus~ services relatir~ to said activities.
SECTION 9. That B~OWN, DIV~ & ~, Attorneys at Law, is
hereby approinted to act as Bond Counsel for the purposes of preparing
prooeed/ngs and issuing an approving opinion attesting to the validity of the
~ and the enforce~_bility of the bonds.
SE~TI(~ 10.That there is hereby authorized and established a special
z~volving fund designated by the ham of the District. Available monies,
including p~ owner advances, my be transferred to said fund to pay for
current expenses, as well as the acquisition and construction of facilities,
rever~es, bond proceeds, and/or other monies available frc~ said Distict,
PASSED, APPROVED, a~d ADOPlOD this 6th day of October, 1993.
