FD99-003 RESOLUTION OF THE BOARD OF DIRECTORS OF THE RANCHO CUCAMONGA FIRE PROTECTION DISTRICT, CALIFORNIAAPPROVING A JOINT EXERCISE OF POWERS AGREEMENT WITH THE CITY OF RANCHO CUCAMONGA AND THE RANCHO CUCAMONGA REDEVELOPMENT AGENCY TO FORM THE RANCHO CUCAMONGA PUBLIC FINANCE AUTHORITY WHEREAS, there is a need within the City of Rancho Cucamonga (the "City") to finance and refinance the construction, expansion, upgrading and improvement of the public capital facilities necessary to support the rehabilitation and construction of residential and economic development within the City; and WHEREAS, the City, the Rancho Cucamonga Redevelopment Agency (the "Agency") and the Rancho Cucamonga Fire Protection District (the "District") desire to jointly facilitate the financing and the refinancing of such public capital facilities; and WHEREAS, the City, the Agency and the District desire, pursuant to Article 1 (commencing with Section 6500) of Chapter 5 of Division 7 of Title 1 of the California Government Code, to enter into a Joint Exercise of Powers Agreement (the "Agreement") for the purpose of creating the Rancho Cucamonga Public Finance Authority (the "Authority"); and WHEREAS, the form of the Agreement has been filed with the Board of Directors, and the Board of Directors, with the aid of the employees of the District, has reviewed the Agreement. NOW, THEREFORE, BE IT RESOLVED, AND DETERMINED: SECTION 1. The foregoing recitals are true and correct. SECTION 2. The Board of Directors hereby authorizes the officers and employees of the District to assist in the organization of a joint exercise of powers authority, to be known as the "Rancho Cucamonga Public Finance Authority." The District hereby approves the form of, and authorizes the Chairperson, to execute and the Secretary to attest, the Agreement forming such authority, in substantially the form on file with the Secretary, together with any changes therein deemed advisable by General Counsel to the District and bond counsel. SECTION 3. The Chairperson, the Vice Chairperson, the Fire Chief and the Secretary, and any other officers or employees of the District, are hereby authorized and directed to take all actions and do all things necessary or desirable hereunder with respect to the formation of the Authority, including but not limited to the execution and delivery of any and all agreements, certificates, instruments and other documents, which they, or any of them, may deem necessary or desirable and not inconsistent with the purposes of this resolution. Resolution No. FD99-003 Page 2 SECTION 4. This Resolution shall take effect immediately upon its adoption. The record of proceedings upon which this decision is based is located in the office of the Secretary, who is the custodian of records for the same.
