A RESOLUTION OF THE BOARD OF DIPaXZlDRS OF THE RANC~O
CGCAMDNGA F/RE PP~DTELTION DISTRICT, CITY OF RANC~O
(TjCAMDNGA, COUNTY OF SAN B~ARDINO, S~ATE OF CALIFORNIA,
~RIZING THE T.~ING OF CER~A]~ CAPITAL ~3IPMBNT FROM
THE CITY OF RANC~O CUCAMONGA, AUITKPaZINS AND DIRBLTINS
EXECUTION OF A SUBLEASE, AND AUTHORIZING OFF/CIAL ACTIONS
WHEREAS, the Board of Directors of the Rancho Cucamonga Fire
Protection District (the "District") does hereby resolve as follows:
WHEREAS, the City of Pancho Cucamonga, California (the "City"), the
City of Chino, California, the City of Ontario, California, and the District
(collectively, the '~4emk~_~s") have heretofore entered into a Joint Exercise of
Powers Agreement dated February 21, 1990, as amended and restated on February
7, 1991, establishing the West End Oa,~,unications Financing Authority (the
"Authority") for the purpose, among others, of issuing its bonds to be used to
provide financial assistance to the Members; and
WHEREAS, the Authority proposes at this time to issue its West End
C~L.t,unications Financing ~3athority 1991 Revenue Bonds, Series A (800 MHz
~quipment Financing Projects) in an aggregate principal amount of not to
exceed $10,420,000.00 (Ten Million Four Hundred and Twenty Thousand Dollars)
(the "Bonds") for the purpose of providing funds to acquire certain cunu.uni-
cations equipment for lease to the Members; and
WHEREAS, the City ba-~ agreed to sublease a portion of the Project
allocable to it to the District and the District wishes to approve such
sublease.
NOW, THEREFORE, the Board of D/rectors of the Rancho Cucamonga Fire
Protection District does hereby order and determine as follows:
S~CTION 1: Approval of Sublease. The Board of Directors hereby
authorizes and approves the sublease of a portion of the Project allocable to
the City frce the City pursuant to and in accordance with the terms of the
Sublease, dated as of March 1, 1991, by and between the City and the District
(the "Sublease"). The Board of Directors hereby approves the Sublease in
substantially the form on file with the Secretary together with any additions
thereto or changes therein deemed necessary or advisable by the President, the
F/re Chief or the Finance D/rector. The President, the Fire Chief or the
Finance Director is hereby authorized and directed to execute, and the
Secretary is hereby authorized and directed to attest and affix the seal of
the District to, the final form of the Sublease for and in the name and on
behalf of the Disctrict. The Board of D/rectors hereby authorizes the
delivery and performance of the Sublease.

S~T/ON 2: Official Actions. The President, the Fire Chief, the
Finance Director, the Secretary and all other officers of the District are
hereby authorized and directed, for and in the name and on behalf of the
District, to do any and all things and take any and all actions, including
execution and delivery of any and all assignments, certificates, requisitions,
agreements, notices, consents, instrunents of conveyance, warrants and other
docunents which they, or any of then, may deem necessary or advisable in order
to cons~m~ets the execution and delivery of the Sublease.
S~CTION 6: Effective Date. This Resolution shall take effect from
and after the date of its passage and adoption.

approved, and adopted by the Board of Directors of the Rancho Cucamonga Fire
