FD 15-025 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE RANCHO CUCAMONGA FIRE PROTECTION DISTRICT, COUNTY OF SAN BERNARDINO, STATE OF CALIFORNIA, CONCERNING THE TERMINATION OF THE PUBLIC AGENCY SELF-INSURANCE SYSTEM (PASIS) OF SAN BERNARDINO COUNTY WHEREAS, the Rancho Cucamonga Fire Protection District (District) is a member of a joint powers authority, the Public Agency Self-Insurance System of San Bernardino County ("PASIS"); and WHEREAS, the PASIS Board, representing the Member Agencies, has determined that it is in the best interest of PASIS members and in the public interest that PASIS should be terminated, and its assets distributed to members per Article 23 of the Joint Powers Agreement; NOW, THEREFORE, the District hereby provides its written consent to the termination of PASIS per Article 23 of the Joint Powers Agreement, with PASIS to continue to exist for the purpose of paying all debts and liabilities, disposing of all claims, distributing net assets, and otherwise winding up and liquidating the affairs of the PASIS. FURTHER, the powers of the Authority for purposes of winding up and liquidating affairs of the Authority will be vested in the Board of Directors per Article 23, and upon completion of the winding up and liquidation, the remaining assets will be distributed per that Article. FURTHER, the District hereby agrees that in order to effectuate the dissolution and winding up of PASIS, all workers compensation claims covered within the program shall be transferred and assigned back to the Member Agency involved in each claim, together with all funds held as claims reserves on account of such claims. Each member shall be responsible for all payments owing on account of such claims, subject also to any excess coverage that is available. Per Bylaws Articles 12 and 13, each Member Agency agrees to be responsible for claims of its own employees and to indemnify PASIS and other PASIS members from and against any claims liability on account of workers compensation claims by the Member Agency's employees. NOW, THEREFORE, BE IT RESOLVED that the conditions set forth in this Resolution, as stated above, takes effect upon adoption by the Rancho Cucamonga Fire Protection District.
