A RESOLUTI~ OF THE CITY ~ OF THE CITY OF RANCHO

WHEREAS, the City of Rancho O~me~ga has ~ that a true and
very real ~ exists for the acquisition of the equipment described in the
Municipal Master Lease and Option A~3re~m~nt No. 464-2 (the "Agreement")
WHEREAS, the City Council of the City of Rancho O~am~ga has taken
applicable law to arrange for acquisition of such equipment,
WHEREAS, the City Council of the City of Rancho Cucamc~Fa hereby
directs the City Attorney to review the agreement and negotiate appropriate
modifications of said agreement so as to assure compliance with state law and
local statutory law, prior to execution of the a~ by those persons
authorized by the City Council for such purpose.
BE IT RESOLVED, by the City Council of the City of Rancho O~amonga
Finding: Authorized Officers. The terms of said A~3ree~ent are in
the best interests of the City of Rancho O,c~monga for the acquisition of such
e~ ~ ~ent and the City Council of the City of Rancho Cucamonga designates and
Jack Tam, AICP, City Manager and/or
Robert Dominquez, Adminzs' trative Services Director
to execute and deliver, and to witness (or attest) respectively, the Agreement
and any related documents necessary to the constmmmtion of the transactions
contemplated by the Agreement.
THEREFORE, BE IT RESOLVED, that the acquisition of the equi~m~_nt,
under the terms and conditions provided for in the agreement is
convenient, in the furtherance of the best interest of the City and will at
all times be used in connection with the Ctiy of Rancho O~amc~ga's
gove~-~mental and proprietary purposes and functions (e~ to the extent that
subleasing of the equipment is permitted under terms of the A~) and no
portion of the equipment will be used directly or indirectly in any trade or

BE IT FURUHER RESOLVED, that the City of Rancho Cucamonga is
authorized and directed to fulfill all obligations under the terms of the
Municipal Master Lease and Option ~greement No. 464-2.
