Present rare: Guy Beyeredorf, Robert Dutton, Ralph Leris (arrived late et 7:30
p. m.), Betty McKay, Gary Schafer, Paula Grigehy, and Jeanns Barton.

1. Introduction of New Foundation Muben. Mayor Stout annomeed that in
accordance rith Article F, Section 3 of ebe Foundation Hylara, Tha City Comcil
had selected the following individual^ to serve as the initial Directors of the

Foundation.
MOTION: Moved by Schafer, seconded by McVey to make the fiscal year from July
1 through Juna 30 by approving and adopting Resolution No. RCCP B7-002. Motion

SUBJECT: Assembly Sill No. 1530
The subject bill is the primary vehicle in the current
legislative session to address the issues relating to for-profit
and nonprofit corporation director personal liability. Here is a
brief analysis of what is included therein with regard to
nonprofit public benefit corporations such as the Foundation.
First, the bill would add to the list of provisions which such
corporations mad include in their articles of incorporation the
following:
• Provisions eliminating or limiting the personal
liability of a director for monetary damages to the
corporation for breach of the person's duties to that
w,.pucaiiun pruviueci, i,owever, ti:ac ~wJ such a provi-
sion may not eliminate or limit the liability oP
directors (i) for acts or omissions that involve inten-
tional misconduct or a knowing and culpable violation
of law, (i i) for any acts or omissions which a director
believes to be contrary to the best interests oP the
corporation or that involves an absence oP good faith
on the part of the director, (iii) for any transaction
Prom which a director derived an improper personal
economic benefit, (iv) under section 5234, or (v) under
section 5237, and (B) no such provision shall eliminate
or limit the liability of a director for any ect or
omission occurring prior to the date when the provision

Section 5237 referred to above lists, those actions for which

priate distribution o£ corporate assets upon dissolution, making
impermissible loans or guarantees or distributing corporate
assets to the directors or the members (iP there are members).

Next, the bill would provide as an addition to the existing
provisions regarding the standards of conduct for directors of
nonprofit corporations, the following:

articles to the extent provided in paragraph (3) of
subdivision (a) of Section 5132. (Section 5231)
The bill also extends to agents (employers and independent
contractors) of nonprofit corporations a parallel limitation of
personal liability.
The other comprehensive effort to address the issue of director
liability is Senate Hill No. 1025, introduced by Benator
Campbell. (By the way Assembly Bil1~NO. 1530 is authored by
• Willie Hrown, Speaker oP the Assembly, and John Vasconcellos,
Chairman of the Ways and Means Committee.} The Campbell bill
adds a new Section 5047.5 to the Corporations Code to read as
follows:
(a) The Legislature finds and declares that the
services of directors and officers oP nonprofit
corporations, who serve without compensation, are
critical to the efficient conduct and management of the
public and charitable affairs of the people of
California. It is the public policy oP this state to
provide incentive and protection to the individuals who
perform this important function.
(b) Notwithstanding any other provision of law, there
is no liability on the part of, and no cause of action
for damages shall arise against, any nonpaid director
or officer of a nonprofit corporation based on any
alleged failure to perform the person's duties as a
director or officer except as provided in this section.
