The regular meeting of the Rancho Cucamonga Community & Arts Foundation was held on
Wednesday, November 28, 2018in the Tri-Communities Room at City Hall, located at 10500
Civic Center Drive, Rancho Cucamonga, California. The meeting was called to order at 5:33
p.m. by Chair Chen.
The Pledge of Allegiance was led by Chair Tina Chen.
Present were Board Members:Chair Tina Chen, Vice Chair Mark Rivera,
Secretary/Treasurer Jim Harrington,Al Arguello,Nick Baker, Rosemarie Brown, Paula
Pachon, Bryan Snyder (arrived at 5:46 p.m.) Absent:Linda Bryan and Fatima Corbett.
Also present were:Jennifer Hunt Gracia, Community Services Director; Susan Sluka-Kelly,
Executive Director;Peggy Magee, Cultural Arts Manager,Catherine Allen, Account
Technician; Valerie Smith, Executive Assistant.

Member Brown stated that the Board does not need to review the 990 until LSL provides the
actual completed form. Vice-Chair Rivera stated he would email Member Brown information
regarding the Foundation’s 1023.No further discussion was held.

Programming Update provided by Cultural Center Manager.
Cultural Center Manager Magee shared that the Nutcracker and Jane Lynch were great. She
also stated that Brian McKnight was a success and thanked the Foundation members that
were in attendance.No further discussion was held.

City Update providedby Community Services Director.
Director Hunt Gracia provided an update on the City Council elections. She stated that the
th
swearing in will be held on December 19and all are invited to attend. She shared that the
Library Foundation, Animal Center Foundation, and the Executive Finance Committee
members met to discuss collaborating through the transition process. Director Hunt Gracia
updated the members that Union Banc will honor the rates that the City receives. She
requested that Executive Director Sluka-Kelly, and Secretary/Treasurer Harringtonmeet with
the City’s Finance department to process any necessary paperwork so that it can be
presented to the Board. She updated the Boardon the softwarethat other Recreation
departments use for their Foundations. She shared that she had not received responses from
the emails she sent out requesting information.No further discussion was held.
F OUNDATION B USINESS
F1.
Executive Director Report.
Executive Director Sluka-Kelly informed the Boardthat it is necessary to establish a longer-
term donor acknowledgement plan. She shared that there are several past donors that have
not donated in over ten years and space on the wall is becoming limited. She shared the
research she conducted for a new mailing address and phone number. A cell phone will be
the best option for theFoundation
. Stationary will not be ordered until a new address and
phone number is assigned. Member Brown stated that the change of address needs to be
reported for the taxes for transparency. The Board requested that Member Brown participate
in the transition process to ensure compliance with all IRS requirements. Executive Director
also provided an update on the website refresh and the sponsorships. No further discussion
was held.

Discussion of RCCAAF Reorganization Plans.
Chair Chen provided an update on the meeting with other Foundations to discuss the
transition from the City. She also shared that the Foundation is looking into getting a credit
card not associated with the bank. She also indicated that the members will be reviewing the
by-laws so that they can be updated. Member Brown shared that there are new rules for
financial reporting for non-profits.No further discussion was held.

Discussion and Selection of 2018 Donor Award Recipients.
Executive Director Sluka-Kelly presented the list of donors and provided a recommendation
on who should be recognized at the Donor Award Recognition. The members discussed the
recommendation and approved Randall Lewis and Cucamonga Valley Water District.No
further discussion was held.
MOTION:Moved by Member Pachon, seconded by Member Snyder, to approve the
recognition of the recommended donors. Motion carried: 8-0-2 (Absent: Bryanand Corbett).
F4.
RCCAAFParticipation in Supervisor Rutherford’s Christmas Reception and Dessert
Competition.
Chair Chen informed the Board about the invitation that the Foundation received to participate
in Supervisor Rutherford’s Christmas Reception and Dessert Competition. She shared that it
would be a great place to share information about the Foundation with other community
members. The Board agreed that it would be a good opportunity for the Foundationto put
their name out.
C OMMITTEE R EPORTS
G1. Executive Finance Committee
Chair Chen provided an update on the items that were discussed during the meeting. She shared that
Healthy RC presented a proposal to use the Foundation’s non-profit status to apply for a Kaiser
Permanente sponsorship for their Teen Summit. The members expressed the need to discuss
procedures with the attorney for when the Foundation is approached by the City or other organizations
for assistance. Chair Chen shared that the Executive Finance Committee will be receiving an update
from Healthy RC whether the sponsorship was approved or not.She also provided a quick update on
the transition discussionand the meeting with the Library Foundation to assist one another as each
becomes more independent. No further discussion was held.
G2. Fundraising Committees.
An update was provided on the Golf Tournament. It was shared that $41,767.26 was raised based on
the reports provided. It was another well organized and successful event. Member Baker provided an
update on the number of tickets sold for Kenny Cetera’s Chicago Experience. He requested assistance
from the board members to sell tickets and offered some tickets as a raffle prize. An update was
provided on the Benefit Performance by Fritz Coleman. Tickets for Fritz are selling welland an
increase in sales is expected after the new year. No further discussion was held.

SECTION 1. PURPOSE:
Rancho Cucamonga Community & Arts Foundation is a nonprofit, tax-exempt organization.
Maintenanceofitstax-exemptstatusisimportant both foritscontinued financial stability and for public
support. Therefore, theIRS aswellasstate regulatory and taxofficialsview the operations of Rancho
Cucamonga Community & Arts Foundation as a publictrust,whichissubjectto scrutiny by and
accountable tosuch governmental authoritiesaswellas to members ofthe public.
Consequently, there exists between Rancho Cucamonga Community & Arts Foundation and its
board officers, members and management employees and the public, a fiduciary duty, whichcarries
withit a broad andunbending dutyofloyalty and fidelity.The board, officers, and management
employeeshavetheresponsibilityofadministeringtheaffairsof Rancho Cucamonga Community
& Arts Foundation honestly and prudently, and ofexercisingtheirbestcare,skill, and judgment
forthesolebenefitofRancho Cucamonga Community & Arts Foundation. Thosepersons shall
exercise the utmost good faith inalltransactionsinvolvedin their duties,andtheyshall not use
theirpositionswith Rancho Cucamonga Community & Arts Foundation or knowledge gained
therefrom fortheirpersonal benefit. Theinterests ofthe organizationmustbethe firstpriority inall
actions.

Thisstatementisdirected not onlyto directors, members and officers, but toall employees of
the City of Rancho Cucamonga who are affiliated with the Rancho Cucamonga Community & Arts
Foundation (hereinafter referred to as “employees”) whocaninfluence the actions of theRancho
Cucamonga Community & Arts Foundation.For example, this would include allwho make
purchasing decisions,all persons whomight be describedas"management personnel," and
anyone who has proprietaryinformation concerning Rancho Cucamonga Community & Arts
Foundation.
SECTION 3. AREASINWHICHCONFLICTMAY ARISE:
Conflictsof interest mayariseinthe relations ofdirectors, members, officers, and
employeeswith any ofthe following third parties:
1.Persons and firms supplying goods and servicesto Rancho Cucamonga Community &
Arts Foundation.
2.Persons and firms from whom Rancho Cucamonga Community & Arts Foundation
leases property and equipment.
3.Persons and firmswith whom Rancho Cucamonga Community & Arts Foundation
is dealing or planning todealinconnection with the gift, purchase orsaleof
securities,or otherproperty.
4.Competingor affinity organizations.
5.Donors andothers supporting Rancho Cucamonga Community & Arts Foundation.
6.Agencies, organizations and associationswhich affect theoperationsofRancho
Cucamonga Community & Arts Foundation.
7.Family members, friends, and otheremployees.
SECTION 4. NATUREOFCONFLICTINGINTEREST:
A conflictinginterestmay be defined asaninterest,directorindirect,withany persons or
firmsmentionedinSection 3. Suchaninterestmightarisethrough:
1.Owningstockor holding debt orother proprietary interestsinany third party
dealingwithRancho Cucamonga Community & Arts Foundation.
2.Holding office, serving onthe board, participatingin management, or being
otherwiseemployed(orformerlyemployed)withanythirdpartydealingwith
Rancho Cucamonga Community & Arts Foundation.
3.Receivingremunerationforserviceswithrespectto individual transactions
involvingRancho Cucamonga Community & Arts Foundation.
4.UsingRancho Cucamonga Community & Arts Foundation’s time, personnel,
equipment, supplies, or good will forotherthan Rancho Cucamonga Community
& Arts Foundation approved activities, programs, and purposes.
5.Receivingpersonalgiftsor loans fromthirdpartiesdealingorcompetingwith
Rancho Cucamonga Community & Arts Foundation. Receiptofanygiftis
disapproved exceptgiftsof a value lessthan $50, which could not be refused
withoutdiscourtesy.No personal giftofmoney should ever be accepted.
SECTION 5. INTERPRETATIONOFTHISSTATEMENTOFPOLICY:
TheareasofconflictinginterestlistedinSection 3, andtherelationsin those areaswhich
maygiverisetoconflict,aslistedinSection 4, arenot exhaustive. Conflictsmightariseinother
areasor through otherrelations.Itisassumedthatthedirectors, members, officers, and
employeeswillrecognizesuchareasandrelation by analogy.
Thefactthatoneof the interests describedinSection 4 existsdoes not necessarilymean
that a conflictexists, or thattheconflict,ifitexists,ismaterial enough tobeofpractical
importance,orifmaterial,that upon full disclosure ofallrelevantfactsandcircumstancesitis
necessarily adverse totheinterestsofRancho Cucamonga Community & Arts Foundation.
However,itis the policy ofthe board thattheexistenceof anyoftheinterestsdescribed
inSection 4 shallbedisclosed before anytransactionis consummated. Itshall be thecontinuing
responsibilityofthe board, its membersand its officersto scrutinizetheir transactionsand
outside business interests andrelationshipsforpotentialconflicts andtoimmediatelymakesuch
disclosures.
SECTION 6. DISCLOSUREPOLICYANDPROCEDURE:
Transactionswithpartieswith whom a conflictinginterestexistsmay be undertaken only
ifallofthe following areobserved:
1.Theconflictinginterestisfullydisclosed;
2.The person withtheconflictofinterestisexcludedfromthe discussion and
approval ofsuchtransaction;
3.A competitive bid orcomparablevaluationexists;and
4.Theboardor a duly constituted committeethereofhasdeterminedthatthe
transactionisin the bestinterestof the organization.
Disclosure in theorganization should be made totheboard chairperson or duly constituted
committee(orifshe orheistheonewith the conflict,thentothe boardvice-chair), whoshallbring
the mattertothe attentionoftheboardor a duly constitutedcommitteethereof. Disclosure
involving directors should bemadetothe board chair, (or ifsheor he is the onewiththeconflict,
then tothe board vice-chair)whoshallbringthesematterstothe board or a duly constituted
committeethereof.
Theboardor a duly constitutedcommitteethereofshalldetermine whether a conflict
existsandinthecaseofanexistingconflict,whetherthecontemplated transaction may be
authorized asjust,fair, and reasonabletoRancho Cucamonga Community & Arts Foundation.
The decision of the board or a dulyconstitutedcommitteethereofon these matterswillrest
intheir sole discretion,andtheirconcern must be the welfareof Rancho Cucamonga
Community & Arts Foundationandthe advancement ofits purpose.
